Terms of Service
These Terms of Service ("Terms") form a binding agreement between Solto LLC ("Solto," "we," "us," or "our") and any person or entity who accesses, registers for, or uses our software platform, websites, applications, agency services, coaching programs, or any related services (collectively, the "Services").
By accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
1) Who We Are
Solto LLC is a Texas limited liability company located at 16990 Dallas Parkway, Suite 100, Dallas, Texas 75248. Contact: hello@gosolto.com.
Solto operates (a) a software-as-a-service platform for real estate professionals ("Platform"); (b) a done-for-you marketing and operations service ("Solto Agency"); and (c) educational and coaching content. Brokerage services are provided separately by Solto Realty under its own independent contractor and client agreements, which are not governed by these Terms.
2) Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.
3) Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at hello@gosolto.com of any unauthorized access. We may suspend or terminate accounts for violations of these Terms, non-payment, or conduct we reasonably believe harms the Services or other users.
4) Fees, Billing, and Refunds
Fees for the Platform, Solto Agency, and coaching programs are disclosed at the point of sale. Unless otherwise expressly agreed in writing:
- Subscription fees are billed in advance and are non-refundable.
- Agency and setup fees are charged up front and are non-refundable once work commences.
- You authorize us to charge the payment method you provide for all recurring fees until you cancel in accordance with the cancellation terms disclosed at signup.
- We may change prices with 30 days' notice; changes take effect on your next renewal.
Refund requests outside these terms must be made in writing within 7 days of the charge and will be considered at Solto's sole discretion.
5) Acceptable Use
You agree not to (a) use the Services to violate any law or third-party right; (b) upload malware or attempt to breach security; (c) scrape, reverse-engineer, or resell the Services; (d) send unsolicited commercial messages ("spam") through the Services; (e) misrepresent your identity or affiliation; or (f) use the Services to engage in deceptive, abusive, or high-pressure sales tactics directed at consumers.
You are solely responsible for the lawfulness of content you upload, lists you import, and messages you send via the Services, including obtaining any consents required under the Telephone Consumer Protection Act (TCPA), CAN-SPAM, Fair Housing laws, and applicable state laws.
6) Real Estate and Financial Content
The Services include educational, analytical, and market content related to real estate investing, flipping, brokerage operations, and related topics. This content is for informational purposes only. It is not investment, legal, tax, or financial advice, and it is not an offer to buy or sell any real property or security. Past performance is not a guarantee of future results. 7) Intellectual Property
Solto owns all right, title, and interest in the Services, including software, designs, trademarks, content, and documentation. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. You retain ownership of data you upload; you grant Solto a license to host, process, and display that data solely as needed to operate the Services for you.
8) Third-Party Services and Links
The Services may interoperate with third-party products (e.g., payment processors, email providers, CRMs, ad platforms). Your use of those products is governed by their own terms. Solto is not responsible for third-party services, outages, or data practices.
9) Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." SOLTO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOLTO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT THEY WILL PRODUCE ANY PARTICULAR BUSINESS OUTCOME.
10) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLTO'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE AMOUNTS YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. SOLTO WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.
11) Indemnification
You agree to defend and indemnify Solto against any claim, liability, or expense arising from (a) your use of the Services, (b) your violation of these Terms, or (c) content or data you upload, including claims under the TCPA, CAN-SPAM, or Fair Housing laws.
12) Termination
You may cancel at any time in accordance with the cancellation terms disclosed at signup. We may suspend or terminate the Services for non-payment, violation of these Terms, or as otherwise permitted by law. Sections intended to survive termination (IP, disclaimers, limitation of liability, indemnification, dispute resolution) will survive.
13) Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association in Dallas County, Texas, on an individual (not class-action) basis. Either party may seek injunctive relief in court for unauthorized use of its intellectual property.
14) Changes
We may update these Terms from time to time. Material changes will be communicated by email or an in-product notice at least 15 days before they take effect. Continued use after the effective date constitutes acceptance.
